Welcome to FaxAgent.ai. By accessing or using our services, you agree to these Terms of Use (“Terms”). If you do not agree, you may not use the service. These Terms constitute a binding legal agreement between you (“User”) and FaxAgent.ai (“Company,” “we,” or “us”).

📋 1. Service Description

FaxAgent.ai provides an online fax transmission service. We enable you to upload a document and transmit it to a recipient fax number via our carrier partners.

• We do not guarantee successful delivery or acceptance of any fax.
• Once a fax is submitted, it cannot be canceled, reversed, or re-sent.
• Our service is stateless: transactions are processed in real time and are not recoverable.

🙋‍♂️ 2. User Responsibilities

• You are solely responsible for entering accurate recipient numbers and verifying intended recipients.
• You are solely responsible for the content of your transmissions and ensuring you have all necessary rights and permissions.
• You will maintain the confidentiality and security of your wallet, tokens, and promo codes. Sharing or unauthorized use is at your own risk.
• You assume all liability for the use of your account, wallet, or tokens.

🪙 3. Tokens, Wallets, and Payments

Tokens function as prepaid digital credits used to pay for fax transmissions.

• Wallets and tokens expire 12 months after issuance.
• Tokens and wallets have no cash value and cannot be redeemed for money.
• Promo codes are treated as tokens and follow the same rules.
• Tokens are deducted regardless of fax delivery outcome (wrong number, busy signal, rejection, or failure).
• All wallet and token purchases are digitally fulfilled instantly upon payment confirmation, granting immediate access to faxing services with no manual processing.
• At our discretion, additional tokens may be issued as a courtesy to resolve customer support issues.

Refunds: All Token and Wallet purchases are final and non-refundable, except where required by law and at our discretion.

💰 4. Pricing and Billing

Costs are charged on a per-page basis according to our tiered pricing schedule.

• All payments are processed securely in U.S. Dollars (USD) via our authorized payment processor.
• You are responsible for any applicable taxes, fees, or bank charges.
• Pricing may be changed at any time for future purchases.

🚫 5. No Warranties

The service is provided “as is” and “as available.”

We disclaim all warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee uninterrupted service, error-free operation, or successful fax delivery.

📡 6. Service Availability & Third-Party Reliance

Dependence on Third Parties: The Service relies on a complex stack of third-party providers, including but not limited to telecommunications carriers, AI model providers (LLMs), cloud hosting, and payment processors. We do not control these providers.

• No Liability for Upstream Failures: We are not liable for service interruptions, delivery failures, or outages caused by third-party vendor downtime, carrier network congestion, or API failures.
• Maintenance Windows: We reserve the right to temporarily suspend the Service for scheduled or emergency maintenance.
• Token Validity vs. Availability: The 12-month expiration period for Wallets and Tokens represents the window in which a token remains valid for use. It does not constitute a Service Level Agreement (SLA) or a guarantee that the Service will be available at any specific moment during that year. If the Service is down due to a maintenance or third-party event, your Tokens remain safe but must be used once the Service is restored.

🤖 7. AI & Automated Processing

AI Output Disclaimer: You acknowledge that this Service utilizes Artificial Intelligence and Agentic workflows. AI systems may occasionally produce incorrect interpretations, "hallucinations," or errors in processing instructions.

• You are responsible for verifying the final status of any fax transmission via the transaction logs or confirmation receipts.
• We are not liable for actions taken based on incorrect AI status outputs or hallucinated events.

⛔ 8. Prohibited Uses

• No spam, unsolicited advertising, or automated/robocalling faxes.
• No harassment, threats, defamation, or abuse.
• No unlawful, fraudulent, or infringing content.
• No attempts to spoof, alter, or disguise fax headers or transmission identifiers.

We reserve the right to suspend or terminate any wallet, token, or account engaged in prohibited activity.

🔒 9. Data and Privacy

We log IP addresses, metadata, and transaction details for operational and compliance purposes.

Data Conduit & Healthcare: We act solely as a passive conduit for document transmission. We do not permanently store the contents of your fax documents after transmission is complete. We do not act as a "Business Associate" under HIPAA unless explicitly agreed to in a separate written contract.

Transmission records may be retained and disclosed to law enforcement if legally required.

📉 10. Limitation of Liability

We are not liable for lost data, failed or misdirected transmissions, unauthorized use of wallets/tokens, or consequential damages.

Our total liability to you for any claim is limited to the amount you paid for the service in the 30 days preceding the claim.

🛡️ 11. Indemnification

You agree to indemnify, defend, and hold harmless FaxAgent.ai and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising from your use of the service, your transmissions, or your violation of these Terms.

☂️ 12. Additional Protections

• Disclaimer of Liability for Downstream Use – We are not responsible for any actions taken by third parties who receive or forward your faxes.
• No Misrepresentation – You may not state or imply that FaxAgent.ai endorses your content or communications.
• Survival of Key Clauses – Disclaimers, limitations of liability, indemnification, and payment obligations survive termination of your account.
• Assignment – We may assign or transfer these Terms in connection with a merger, acquisition, or sale of the business.

🔌 13. Termination

We reserve the right to suspend or terminate wallets, tokens, or accounts at any time if you breach these Terms, engage in prohibited use, or abuse the service.

⚖️ 14. Governing Law and Disputes

These Terms are governed by the laws of Delaware, USA. Any dispute will be resolved by binding arbitration. You waive any right to participate in a class action.

📎 15. Miscellaneous

Force Majeure – No liability for service failures due to events beyond our control.

Severability – If any provision is invalid, the rest remain enforceable.

Entire Agreement – These Terms represent the full agreement between you and FaxAgent.ai.

• Information We Collect – We collect limited information needed to operate the service, including IP addresses, transaction metadata, wallet and token usage, and fax transmission records. We may also collect email addresses or other contact details you provide for account or support purposes.
• Use of Information – We use this information to deliver the fax service, process payments, prevent fraud, troubleshoot issues, and comply with legal obligations.
• Retention – Transmission metadata and wallet activity are retained for as long as necessary to provide the service and meet compliance requirements. Certain records may be kept longer if required by law.
• Third-Party Services – We use trusted providers (such as payment processors, carriers, and email service providers) to deliver the service. These providers only receive the information necessary to perform their functions.
• Cookies and Tracking – We may use basic cookies or similar technologies to maintain session integrity and improve user experience.
